Insider ownership report (임원·주요주주 소유 보고)

A DART filing made when an officer or a 10%+ shareholder of a Korean listed company changes their shareholding.
Also known as: Executive and major shareholder filing

What it is

Officers of a Korean listed company and shareholders owning 10% or more (or exercising de facto control) must report their holdings within five business days of taking that position and of any change in the number of shares.

What it shows

The reporter, title, whether they are a registered director, shares held after the change, the ownership ratio and the change in shares. Open-market trades appear alongside non-trade changes such as option exercises, gifts and inheritance.

What to keep in mind

Several insiders adding shares in the same period is often read as a positive signal, but small symbolic purchases and compensation shares are mixed in. Since July 2024, insiders trading 1% or more of shares, or KRW 5bn or more, must also pre-announce the trade 30 days in advance.
