Registration statement (증권신고서)

The filing a Korean company makes before a public offering — it carries the price, dates, underwriters and use of proceeds.

What it is

Raising more than ₩1bn from the public requires a registration statement filed with the Financial Services Commission and published on DART. It covers shares offered, the indicative price range, subscription and payment dates, underwriters, use of proceeds and risk factors.

How it changes

Statements are amended during review. After book-building, a finalized-terms version carries the confirmed offer price and allocation, and a prospectus follows before subscription. Orders cannot be taken before the filing takes effect.
