Change of largest shareholder

The shareholder holding the most shares in a company changes.
Also known as: 최대주주 변경, change of control

What it is

The largest shareholder is the holder, together with related parties, owning the most shares. It can change through a share sale, a third-party allotment, inheritance or gift, or the disposal of pledged shares, and the company then files a change-of-largest-shareholder disclosure.

A share purchase agreement that will change the largest shareholder is disclosed when signed, and a separate filing follows when the change takes effect. A buyer crossing 5% also files an ownership report.

What to keep in mind

For control deals, investors look at who the new holder is, how the purchase is financed (borrowing, pledged shares and so on) and the plans after the deal. Final payments are sometimes delayed or agreements terminated.
