What it is
Shareholders exercise voting rights on financial statement approval, director and auditor appointments, executive pay limits, changes to the articles, and mergers. Annual general meetings are held on a fixed schedule; extraordinary meetings are called as needed.
When they happen
Because most Korean companies close their books in December, annual meetings cluster in March, sometimes with many companies meeting the same day. Notice is given at least two weeks ahead and disclosed on DART.
Voting and the record date
You must be on the register on the record date to vote, which with T+2 settlement means buying at least two business days earlier. Electronic voting and proxies are available at companies that adopt them.
Where to check it
Notices, agendas and outcomes are all filed on DART. Year-end dividends are confirmed at the meeting, so the outcome is worth reading alongside the dividend decision filing.
